Welcome to Mineral Marketplace, operated by Oliver Natural Resources ("ONR," "we," "us," or "our"). By accessing or using our platform at mineralmarketplace.com (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

Mineral Marketplace is a curated online marketplace connecting mineral rights owners with qualified buyers. These Terms govern your use of our website, services, and any associated tools or features.

1. Account Registration & Eligibility

You must be at least 18 years of age to create an account and use the Platform. By registering, you represent and warrant that:

• All information provided during registration is accurate, current, and complete.
• You will maintain and promptly update your account information.
• You are legally authorized to enter into binding agreements.
• You will not use the Platform for any unlawful or unauthorized purpose.

We reserve the right to suspend or terminate accounts that violate these Terms or provide false information.

2. Non-Circumvention Agreement

By using the Platform, all users (buyers and sellers) agree to the following non-circumvention provisions:

• You will not attempt to circumvent, bypass, or avoid the Platform to complete transactions with parties you were introduced to through Mineral Marketplace.
• All offers, negotiations, and closings for mineral rights discovered on the Platform must be conducted through the Platform.
• You will not solicit or contact sellers/buyers outside the Platform for transactions originating from Platform introductions for a period of 24 months following the initial introduction.
• Violation of this non-circumvention clause may result in immediate account termination, forfeiture of any deposits, and legal action for damages including the full commission that would have been earned.

3. Platform Usage & Services

For Sellers: The Platform provides a venue to list mineral rights, royalties, and subsurface assets for sale. Sellers are responsible for the accuracy of all listing information, including but not limited to acreage, net mineral acres, interest type, production status, and asking price. ONR may review and approve listings before publication.

For Buyers: Qualified buyers may browse listings, submit offers, and access research data subject to their subscription tier. Buyer verification and subscription are required to access the Deal Room and certain research features.

Research & Data: The Platform provides production data, well information, county analytics, and other research tools. While we strive for accuracy, this data is provided for informational purposes only and should not be relied upon as the sole basis for investment decisions.

4. Subscription & Payment Terms

Certain Platform features require a paid subscription. By subscribing, you agree to:

• Pay the applicable fees for your selected subscription tier (Investor, Professional, or Institutional).
• Subscriptions are billed monthly or annually and automatically renew unless cancelled at least 30 days before the renewal date.
• All fees are non-refundable except as required by applicable law or as stated in our refund policy.
• ONR reserves the right to change subscription pricing with 30 days' advance notice to existing subscribers.

5. Prohibited Conduct

You agree not to:

• Use the Platform to submit fraudulent listings or misrepresent mineral rights ownership.
• Scrape, crawl, or harvest data from the Platform using automated means without prior written consent.
• Interfere with the security, integrity, or performance of the Platform.
• Use the Platform's research data for commercial redistribution or resale.
• Impersonate another person or entity.
• Engage in market manipulation or artificially inflate/deflate listing values.
• Harass, threaten, or abuse other Platform users.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied.
• ONR does not guarantee the accuracy of listing information, production data, or research analytics.
• ONR is not a party to any transaction between buyers and sellers and assumes no liability for disputes arising from such transactions.
• In no event shall ONR's total liability exceed the amount you paid to ONR in subscription fees during the twelve (12) months preceding the claim.
• ONR shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

7. Intellectual Property

All content on the Platform, including text, graphics, logos, data compilations, software, and the overall design and layout, is the property of ONR or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from Platform content without express written permission.

8. Indemnification

You agree to indemnify, defend, and hold harmless ONR, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

9. Dispute Resolution

Any disputes arising from or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Pennsylvania. Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform at least 30 days before taking effect. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
